AGREEMENT TO OUR LEGAL TERMS

We are Leap Hub Inc., doing business as Leap Hub (“Company,” “we,” “us,” “our”), a company registered in Delaware, United States at 112 Capitol Trail A1070, Newark, DE 19711.

We operate the website https://theleaphub.com/ (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

Leap Hub is a centralized identity and access management platform that also serves as a digital community hub for professionals in digital marketing and growth. While its core function is to provide secure Single Sign-On (SSO) via OAuth2 and OIDC protocols, the platform also includes free tools, partner application integrations, and educational resources.

In the future, Leap Hub will evolve into a community-driven platform focused on digital marketing, SEO, and growth strategy discussions. Additionally, Leap Hub offers expert-led Masterclass training programs and personalized growth consultancy services tailored to startups and scaling businesses.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Leap Hub Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by support@theleaphub.com, as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

Subject to your compliance with these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable license to:

Download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

All registration information you submit will be true, accurate, current, and complete;
You will maintain the accuracy of such information and promptly update such registration information as necessary;
You have the legal capacity and you agree to comply with these Legal Terms;
You are not a minor in the jurisdiction in which you reside;
You will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
You will not use the Services for any illegal or unauthorized purpose; and
Your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

Delete the copyright or other proprietary rights notice from any Content.

Interfere with or create an undue burden on the Services or networks connected to it.
Harass, intimidate, or threaten any employee or agent providing services.
Attempt to bypass any security measures of the Services.
Copy or adapt the Services’ software without permission.
Decompile or reverse engineer any part of the Services.
Use unauthorized scripts, spiders, or scraping tools.
Use a buying/purchasing agent to make purchases on the Services.
Collect usernames/emails for sending unsolicited messages.
Use the Services to compete with us or for any revenue-generating purposes.
Use the Services to advertise or sell unauthorized goods or services.
Sell or transfer your profile.
Interfere with authentication tokens or sessions of others.
Impersonate any person or entity, including platform staff.
Upload or transmit malicious code intended to disrupt the platform.

6. USER GENERATED CONTRIBUTIONS

The Services may allow you to chat, post in forums, and submit content including (but not limited to): text, writings, audio, video, photographs, graphics, comments, suggestions, personal information, etc. (“Contributions”).

These Contributions may be viewable by other users or via third-party sites, and are treated as non-confidential and non-proprietary.

When you create or make available any Contributions, you represent and warrant that:

You own the rights or have permission to post the Contributions.
You have the consent of any identifiable persons in your Contributions.
Your Contributions are not false, misleading, defamatory, or unlawful.
Your Contributions are not spam, chain letters, pyramid schemes, or unsolicited advertising.
Your Contributions do not ridicule or harass others.
Your Contributions do not violate privacy, child protection, or anti-discrimination laws.
Your Contributions do not promote violence or harm against individuals or groups.
Your Contributions do not violate any part of these Legal Terms.

Any violation of the above may result in termination or suspension of your use of the Services.

7. CONTRIBUTION LICENSE

By posting your Contributions to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to:

host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice)
for any purpose, commercial, advertising, or otherwise
to prepare derivative works of, or incorporate into other works, such Contributions
and grant and authorize sublicenses of the foregoing

The use and distribution may occur in any media formats and through any media channels. This license includes our use of your name, company name, franchise name, and any of the trademarks, service marks, trade names, logos, and personal and commercial images you provide.

You waive all moral rights in your Contributions and warrant that moral rights have not otherwise been asserted.

We do not assert any ownership over your Contributions. You retain full ownership and intellectual property rights. However, you agree to:

exonerate us from responsibility
refrain from legal action regarding your Contributions
acknowledge that we have full discretion to edit, re-categorize, or remove any Contributions without notice

We are not obligated to monitor your Contributions.

8. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain or send you links to third-party websites and content (e.g., articles, software, services).

We do not monitor or guarantee:

their accuracy or appropriateness
their reliability or compliance
any content or transactions that take place on those websites

You access them at your own risk. We are not responsible for any resulting harm or damages.

9. SERVICES MANAGEMENT

We reserve the right (but not obligation) to:

Monitor for Legal Terms violations
Take legal action as needed
Disable, restrict, or remove any content
Manage server loads and excessive use
Ensure proper functionality and protection of our platform

By using the Services, you consent to your data being processed and transferred to Germany.

11. COPYRIGHT INFRINGEMENTS

If you believe any material on our Services infringes your copyright, notify us immediately. Misrepresentations may result in liability under applicable law.

12. TERM AND TERMINATION

These Terms remain effective while you use the Services.

We may, at any time and for any reason, terminate or suspend:

your account

without prior notice. Creating a new account after suspension is prohibited. We may take legal action if necessary.

13. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Services at any time without notice.

We are not liable for:

downtimes
data loss
delays or service interruptions

You acknowledge that such changes are not grounds for claims against us.

14. GOVERNING LAW

These Terms are governed by Texas state law, without regard to conflict of law principles.

15. DISPUTE RESOLUTION

Informal Negotiations

Disputes must first go through a 30-day informal negotiation.

Binding Arbitration

Unresolved disputes will be settled by arbitration under the AAA Commercial Rules in Texas.

Class actions and representative suits are prohibited.

Exceptions

Disputes involving intellectual property or unauthorized use are excluded from arbitration.

16. CORRECTIONS

We may correct any errors or omissions in the Services without notice.

17. DISCLAIMER

The Services are provided “as is.” We disclaim all warranties and are not liable for:

service interruptions
malware
third-party content
inaccuracies or errors

You use the Services at your own risk.

18. LIMITATIONS OF LIABILITY

Our total liability to you will not exceed the amount you paid to us in the last six months or $250.

Some jurisdictions do not allow certain exclusions—these may not apply to you.

19. INDEMNIFICATION

You agree to indemnify us against any third-party claims resulting from your:

harm to others via the platform

We may assume defense at your expense.

20. USER DATA

You are responsible for your data. We back up data regularly but are not liable for any data loss or corruption.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to:
